Terms of Service

Last updated: October 18, 2026  |  Effective: October 18, 2026

Please read these Terms carefully. By downloading, accessing, or using Boardroom, you agree to be bound by them. If you do not agree, do not use the App.

These Terms contain an arbitration agreement and a class action waiver that affect how disputes between us are resolved. You may opt out of arbitration within 30 days — see section 16.5. They also limit our liability to you.

Pro subscriptions renew automatically until you cancel them in your App Store settings. Deleting your account does not cancel a subscription — see section 9.

Board members are AI, not real people, and nothing they say is professional advice. If you are in crisis, Boardroom is not the right place: in the US call or text 988, or call 911.

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Netrium Technologies ("Netrium," "we," "us," or "our") governing your access to and use of Boardroom: AI Advisors ("Boardroom" or the "App") and any related services we provide.

By creating an account, or by downloading, accessing, or using the App, you acknowledge that you have read and understood these Terms and our Privacy Policy, and agree to be bound by both. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Eligibility

You must be at least 13 years old to use the App. If the age of digital consent in your country is higher than 13, you must have reached that age. If you are under the age of majority where you live, you may use the App only with the permission of a parent or guardian, who agrees to these Terms on your behalf. By using the App you represent and warrant that:

  • You meet the minimum age requirement above.
  • You have the legal capacity to enter into a binding contract, or have a parent or guardian's permission as described above.
  • You are not barred from using the App under the laws of your jurisdiction, and you are not located in a country subject to a comprehensive United States trade embargo or designated on any United States restricted-party list.
  • The information you provide when creating an account is accurate and complete, and you will keep it up to date.

3. What the App Does

Boardroom is a personal board of AI advisors. You bring a topic, seat a board of AI personas, and they discuss it in a live 3D boardroom while you steer the meeting. The App uses artificial intelligence to:

  • Prepare a case file from your topic and ask you clarifying questions.
  • Generate each board member's spoken and written contributions, in the style of their persona.
  • Produce minutes when you end a meeting: a resolution, each member's vote, key points, action items and what would change the board's mind.
  • Remember context from earlier meetings so you can continue a topic, or meet the same board member again.
  • Cast a board for each question, including, if you choose, a board member who speaks from the point of view of someone in your life.
  • Suggest takeaways, such as a draft message you could send or the numbers that were discussed.

If a meeting is left open, for example because the App was closed or your device switched off, we may close it and prepare its minutes from what was already said. If you allow notifications, the App can send reminders you set and, if you turn them on, occasional check-ins and invitations from your board; you can turn these off at any time in the App or in your device settings. Features, limits and the way the board behaves may change over time as we improve the App.

Boardroom is a thinking and brainstorming tool. It is not a source of professional advice. Nothing in the App is medical, mental-health, legal, financial, tax, investment or other professional advice, and board members are not doctors, therapists, lawyers or financial advisers, even when a persona is written to sound like one. The decisions you make are your own. Always seek a qualified professional for matters that need one.

Boardroom is not a crisis or emergency service. If the App detects that you may be at risk, it will pause the meeting and point you to crisis resources, but it cannot monitor you or contact anyone for you. If you or someone else may be in danger, contact your local emergency services; in the United States, call or text 988 or call 911.

4. Your Account

4.1 Creating an account

You create an account with your email address and a password, or by signing in with Apple or Google, in which case that provider's terms also apply to your use of it. One person may hold one account. You may not share your account, transfer it, or let anyone else use it.

4.2 Account security

You are responsible for keeping your password and the device associated with your account secure, and for all activity that occurs under it. Tell us promptly at support@netriumtechnologies.com if you suspect unauthorised access. We are not liable for losses arising from your failure to keep your account secure.

4.3 Deleting your account

You may close your account and have your associated personal data deleted at any time. In the App, go to Settings and tap Delete account, or email support@netriumtechnologies.com from the address on your account. You can also delete a single meeting from its minutes. Deletion is handled as described in our Privacy Policy. Deleting your account does not cancel an App Store subscription, and does not entitle you to a refund; cancel any subscription in your App Store settings first. Any unused voice minutes, subscription time or other benefits are lost when you delete your account.

5. Acceptable Use

You may use the App for your own personal thinking, planning and decision-making. You agree not to:

  • Use the App for any unlawful purpose, or in breach of any applicable law or regulation.
  • Use the App to plan, promote or facilitate harm to yourself or anyone else, including violence, self-harm, harassment, stalking or fraud.
  • Generate, request or upload any content that sexualises minors, or sexually explicit content of any kind.
  • Attempt to make the board produce content that is hateful, harassing, defamatory, or that impersonates a real person in a misleading way, or try to get around the App's safety screening.
  • Attempt to gain unauthorised access to the App, our systems, or another user's account, or probe, scan, or test the vulnerability of any system without our written permission.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent this restriction is prohibited by applicable law.
  • Use bots, scrapers, or automated means to access the App, or circumvent any rate limit, quota, or access control.
  • Upload or transmit malware or any code intended to disrupt, damage, or gain unauthorised access to any system.
  • Upload content that infringes anyone's intellectual property, privacy, or other rights.
  • Enter another person's personal information, confidential information, or trade secrets, or any information you are under an obligation not to disclose.
  • Use the App, or any output of the App, to develop, train, fine-tune, or benchmark a competing artificial intelligence model or service.
  • Resell, sublicense, rent, or otherwise commercially redistribute access to the App or its outputs.
  • Present AI-generated output as the advice or opinion of a real person or professional, or as something a real person actually said.
  • Use a board member that represents someone in your life to deceive, harass, intimidate, defame or embarrass that person or anyone else, or share its output in a way that suggests it came from them.
  • Add someone to your board, or describe them, in a way that reveals their sensitive information (such as health, sexuality, finances or immigration status) without their permission.
  • Abuse purchases, free trials or plan limits, for example by creating multiple accounts to obtain repeated trials or free meetings.
  • Harass, abuse, threaten, or harm our staff or other users.

You can report any board member's message you find inappropriate by long-pressing it in the meeting transcript and tapping Report message. We review reports and may investigate suspected violations, and may suspend or terminate access under section 17.

6. Your Content

6.1 You own your content

You retain all ownership rights in the topics, messages, answers and other material you submit through the App ("Your Content"). As between you and us, and to the extent the law allows, you also own the minutes and other AI Output generated for you. We claim no ownership of either.

6.2 The licence you give us

You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, display, and process Your Content solely for the purpose of operating the App and providing the service to you — including transmitting it to the service providers listed in our Privacy Policy so they can generate the board's replies, voices and minutes and screen them for safety. This licence ends when you delete the content or your account, except for copies retained in routine encrypted backups until they are overwritten.

We do not train AI models on Your Content. We do not use your topics, messages, minutes or memories to train, fine-tune, or improve our own AI models, and our AI provider does not use data sent through its API to train its models. We do not sell Your Content or use it for advertising.

6.3 Your responsibility for what you enter

You are solely responsible for Your Content and for having the rights necessary to submit it. Do not enter information you would not want processed by our service providers — including government identification numbers, financial account details, passwords, or another person's confidential information.

6.4 People you add to your board

If you add someone you know to your board, you are responsible for the information you enter about them and for having the right to share it with us. A board member who speaks from that person's point of view is an AI simulation built only from what you wrote. It is not that person, does not know what they think or would say, and must not be treated as their words. We are not responsible for any decision you make, or any effect on your relationship with that person, based on such a simulation. If that person asks us to remove information about them, we may do so.

6.5 What you share

The App lets you share minutes, takeaways and saved exchanges outside the App. You are solely responsible for what you share, who you share it with, and any consequences. Review AI Output, especially any draft message, before you send it to anyone; once you send it, it is your message.

6.6 Keep your own copies

Meetings and minutes are stored for your convenience, not as an archive. If something matters to you, keep your own copy. We are not liable for content that is lost, deleted, or unavailable, including after you delete a meeting or your account.

6.7 Feedback about the App

If you send us suggestions or ideas about the App, you grant us an unrestricted, perpetual, royalty-free right to use them without obligation, compensation, or attribution to you.

7. Our Intellectual Property

The App and everything in it — software, source code, designs, interfaces, the board member personas, text, graphics, logos, and trademarks — is owned by Netrium Technologies or its licensors and is protected by copyright, trademark, and other laws. Some 3D character models are licensed from third parties under open-source licences, which govern those models. Subject to these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the App on a device you own or control, for your own non-commercial use. All rights not expressly granted are reserved. You may not use our name, logo, or trademarks without our prior written permission.

8. AI-Generated Content

The App uses artificial intelligence, including third-party large language models and voice models, to generate the board members' contributions, their voices, votes, and minutes ("AI Output").

  • Board members are not real people. Each is an AI persona with a written character. Their opinions, votes and disagreements are generated, and do not reflect the views of Netrium or of any real person.
  • AI Output can be wrong. It may be inaccurate, incomplete, inconsistent between meetings, outdated, biased, or inappropriate, and transcription of your speech may contain errors. The board may sound confident when it is wrong.
  • Board members who represent people in your life are simulations. They reflect only what you told the App, may get that person badly wrong, and are not that person's views.
  • Minutes may be incomplete. Minutes prepared after a meeting was cut short, or when an automatic summary could not be produced, may contain only part of the discussion.
  • A resolution or vote is not a recommendation you should rely on. It is a summary of a generated discussion, meant to help you think, not to decide for you.
  • AI Output is not guaranteed to be unique. Other users may receive similar or identical output, and we make no representation that AI Output is free of third-party rights.
  • You are responsible for reviewing and exercising your own judgement before relying on any AI Output.

To the fullest extent permitted by law, we are not liable for AI errors, inaccuracies, omissions, or objectionable content, or for any decision or action you take in reliance on AI Output.

9. Subscriptions and Purchases

9.1 Plans

Boardroom is free to download. The free plan includes a limited number of meetings, minutes and voice time, as described in the App. Boardroom Pro is a paid subscription that adds more voice time, memory across meetings and the ability to continue a discussion, and other features described in the App at the time you subscribe. Pro may also include a limited number of voice minutes per billing period; when they run out, meetings continue in text. Voice minutes are counted by the board's voice audio that actually plays. All plans are subject to reasonable fair-use limits that protect the service, and we may slow or pause use that exceeds them.

9.2 Billing through Apple

All purchases are made through the Apple App Store using your Apple ID and are subject to Apple's terms and payment policies. The price, billing period and what is included are shown in the App and on Apple's payment sheet before you confirm. Prices may vary by country and include any taxes Apple applies. We do not receive or store your payment card details.

9.3 Automatic renewal

Pro subscriptions renew automatically at the end of each billing period, at the then-current price, unless you cancel at least 24 hours before the end of the current period. Your Apple ID is charged within 24 hours before renewal. You can manage or cancel your subscription at any time in your iPhone's Settings > your name > Subscriptions; cancellation takes effect at the end of the current billing period, and you keep Pro until then. Deleting the App or your Boardroom account does not cancel your subscription.

9.4 Free trials

If a free trial is offered, its length is shown before you start it. Unless you cancel at least 24 hours before the trial ends, your subscription begins and you are charged automatically at the end of the trial. Free trials are limited to one per person and Apple ID, and any unused part of a trial ends when you buy a subscription.

9.5 Voice top-ups

Voice top-ups are one-time purchases of additional voice minutes for use with Pro. They are used after the voice minutes included in your plan, do not expire while your account is open, have no cash value, cannot be transferred to another account, and are forfeited if you delete your account.

9.6 Refunds

Refunds are handled by Apple under its policies; you can request one at reportaproblem.apple.com. We do not issue refunds directly, and except where required by law or Apple's policies, payments are non-refundable and there are no refunds or credits for partial billing periods, unused voice minutes, or features you did not use. If Apple refunds a purchase, the benefits it provided may be removed from your account.

9.7 Restoring purchases

If you reinstall the App or use a new device, tap Restore purchases in the App while signed in to the same Apple ID. A subscription can be linked to one Boardroom account at a time.

9.8 Changes to prices and plans

We may change prices, plan limits and the features included in each plan. We will give you reasonable notice of a price increase for an existing subscription, as Apple requires, and where Apple requires your consent to an increase, it will ask for it; if you do not agree, you can cancel before the change takes effect. We may also offer promotions or discounts, which do not change the price you are already paying unless stated.

10. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. Please read it — it explains what we collect, which AI and infrastructure providers process your data, how long we keep it, and the rights you have.

11. Third-Party Services

The App depends on third-party services, including:

CategoryRole
Third-party AI providersThe board's replies, voices and minutes, and safety screening
Third-party cloud infrastructure providersHosting, database, and authentication
Platform providersApp distribution, payments, Sign in with Apple, notification delivery and your device's speech recognition
Subscription managementConfirming purchases and keeping your plan up to date
Sign-in and notification servicesGoogle Sign-In, and delivering notifications to your device

How these providers handle your data is described further in our Privacy Policy, which names the specific providers. Your use of these services is also subject to their own terms and privacy policies. We do not control them and are not responsible for their availability, acts, or omissions. If a provider changes, suspends, or discontinues its service, features of the App that depend on it may be interrupted or withdrawn. The App may also contain links to third-party websites, such as crisis helplines, which we do not control and are not responsible for.

12. Apple Terms

The following applies where you obtained the App from the Apple App Store:

  • These Terms are between you and Netrium Technologies only, not with Apple. Apple is not responsible for the App or its content.
  • Your licence to use the App is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
  • Apple has no obligation to provide any maintenance or support for the App.
  • If the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
  • Netrium, not Apple, is responsible for addressing any claim relating to the App, including product liability claims, any claim that the App fails to conform to a legal requirement, and claims under consumer protection or similar legislation.
  • Netrium, not Apple, is responsible for investigating and resolving any third-party claim that the App infringes intellectual property rights.
  • You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on any US Government restricted-party list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.

13. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE APP AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that AI Output will be accurate, reliable or appropriate; that the App's safety screening will detect every risk; that notifications will be delivered, or delivered on time; that your content will be stored without loss; that any feature, plan or price will remain available; or that any decision you make with the help of the App will lead to a particular outcome.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded. Consumers retain all non-waivable statutory rights under the law of their country of residence.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER NETRIUM TECHNOLOGIES NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE APP OR ANY DECISION YOU MAKE IN RELIANCE ON IT, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Netrium Technologies and its affiliates, officers, directors, employees, and agents from any claim, demand, damage, loss, liability, or expense (including reasonable legal fees) arising out of or relating to: your use or misuse of the App; your breach of these Terms or of any applicable law; your violation of any third-party right; Your Content, including any claim that it infringes a third party's rights or discloses information you were not entitled to disclose; your use of a board member that represents another person; or anything you share or send using the App's output. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification, at your expense, and you agree to cooperate with our defence.

16. Disputes and Arbitration

16.1 Talk to us first

Most concerns can be resolved quickly. Before starting a formal proceeding, you agree to contact us at support@netriumtechnologies.com with a written description of the dispute and the relief you seek, and to give us 60 days to resolve it informally.

16.2 Binding arbitration

If we cannot resolve the dispute informally, you and Netrium agree that any dispute arising out of or relating to these Terms or the App will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in English. It may be held by telephone or video, or in writing, or in the county where you live if an in-person hearing is required. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.

16.3 Exceptions

Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property rights or to address unauthorised access to the App. These claims are not subject to arbitration and are brought in the courts described in section 19.

16.4 Class action waiver

You and Netrium agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court, and the rest of this section 16 will remain in effect for all other claims.

16.5 Your right to opt out of arbitration

You can decline the arbitration agreement and class action waiver. Email support@netriumtechnologies.com with the subject line "Arbitration Opt-Out," stating your name and the email address on your account, within 30 days of first accepting these Terms. Opting out affects nothing else in these Terms and will not disadvantage your use of the App in any way.

16.6 Consumers outside the United States

If you are a consumer resident in the EEA, the UK, or another jurisdiction whose law grants you the right to bring proceedings in your local courts, sections 16.2 and 16.4 do not apply to you to the extent that law says otherwise, and you may bring proceedings in the courts of your place of residence.

17. Termination

17.1 By you

You may stop using the App at any time, and may close your account as described in section 4.3.

17.2 By us

We may suspend or terminate your access, with notice where reasonably practicable, if you materially breach these Terms, if your use creates a security, safety or legal risk for us or other people, if we are required to by law, or if we discontinue the App. Where we discontinue the App entirely, we will give reasonable advance notice so that you can save any minutes you want to keep. If we terminate your access because you breached these Terms, you are not entitled to a refund of any purchase. Any refund for a subscription when we discontinue the App is handled through Apple.

17.3 What survives

Sections 6.2 (to the extent of backup copies), 6.3 to 6.7, 7, 8, 9.6, 13, 14, 15, 16, and 19, and any other provision that by its nature should survive, remain in effect after termination. On termination your right to use the App ends immediately, and your data is handled as set out in the Privacy Policy.

18. Changes to These Terms

We may update these Terms as the App changes. We will update the "Last updated" date and, for material changes, give you notice in the App or by email at least 14 days before they take effect, unless a change is required sooner by law or to address a security or safety issue. Continuing to use the App after a change takes effect means you accept the revised Terms. If you do not accept them, stop using the App and close your account. Changes do not apply retroactively to a dispute that arose before the change.

19. General Terms

  • Governing law. These Terms are governed by the laws of the State of Arizona, USA, and applicable US federal law (including the Federal Arbitration Act), without regard to conflict of law rules. Any claim that is not subject to arbitration under section 16 will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you and Netrium consent to their jurisdiction, except that you may bring an individual claim in a small claims court where you live. This does not deprive a consumer of the protection of mandatory law in their country of residence.
  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Netrium about the App, and supersede any prior agreement on that subject.
  • Severability. If a provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in full effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including outages of the third-party services the App depends on.
  • Notices. We may give you notice by email to the address on your account or by an in-app message. Notices to us go to support@netriumtechnologies.com.
  • Export controls. You agree to comply with all applicable export and re-export control laws and regulations in your use of the App.
  • US Government end users. The App is "commercial computer software" and is provided with only those rights granted to all other end users under these Terms.
  • Copyright complaints. If you believe content in the App infringes your copyright, contact support@netriumtechnologies.com with the information required by the Digital Millennium Copyright Act, and we will respond appropriately, including removing infringing material.
  • Language. These Terms are drafted in English. Any translation is provided for convenience, and the English version controls.
